AESTHETICA IS NOT A PROVIDER OF EMERGENCY MEDICAL SERVICES. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, SEEK IMMEDIATE IN-PERSON MEDICAL CARE, CALL 911, OR CONTACT YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.

These Terms of Use (these “Terms”) govern your access to and use of the Aesthetica website, forms, portals, hosted checkout pages, communication channels, and related services, features, content, and applications (collectively, the “Platform”) offered by Aesthetica Medical Travel, LLC, a Wyoming limited liability company (“Aesthetica,” “we,” “us,” or “our”).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

I. Introduction

Aesthetica operates a non-clinical coordination platform designed to support individuals seeking access to independent providers and related international medical travel coordination services. The Platform may include information about Aesthetica memberships, coordination services, provider introductions, scheduling support, records handling, billing workflows, logistics support, account tools, and related communications.

These Terms apply to your use of the Platform generally. Additional documents may apply to specific transactions or services, including, as applicable:

• the Aesthetica Patient Purchase Agreement;
• an Order Form or Checkout Summary;
• a Membership flow;
• the Operational Health Information, International Transfer, Electronic Communications, Emergency Contact, and Payment Authorization;
• the Privacy Policy; and
• other policies or notices presented at the time of use.

If there is a conflict between these Terms and a patient-specific commercial agreement accepted by you, the patient-specific agreement will control for that subject matter.

II. Modification of Terms

We reserve the right, in our sole discretion, to amend these Terms at any time. Changes may be made for legal, regulatory, security, operational, commercial, or other reasons.

The “Last Updated” date above reflects the effective date of the current version. Your continued use of the Platform after updated Terms are posted constitutes your acceptance of the revised Terms, to the fullest extent permitted by law.

III. Description of Aesthetica and the Platform

You understand and agree that the Platform is intended to facilitate non-clinical services and workflows, which may include:

• intake and onboarding;
• collection and organization of records and information;
• membership administration;
• provider introductions;
• consultation coordination;
• scheduling support;
• travel and logistics coordination;
• communications support;
• operational follow-up;
• hosted payment or checkout functionality; and
• related administrative and concierge-style coordination services.

Aesthetica may also provide technology, communications, and workflow support that enables you to communicate with or be introduced to independent physicians, clinics, hospitals, laboratories, recovery partners, transportation vendors, or other third parties.

IV. No Medical Services by Aesthetica

Aesthetica is not a medical provider and does not practice medicine.

Aesthetica does not:

• diagnose;
• prescribe;
• recommend treatment as a healthcare provider;
• provide surgery, anesthesia, nursing, hospital, or pharmacy services;
• grant medical clearance; or
• make clinical decisions.

All medical advice, treatment recommendations, teleconsultations, informed consent discussions, prescriptions, surgical planning, and clinical decisions are made solely by independent licensed providers and facilities.

You understand and agree that Aesthetica is not responsible for medical treatment or clinical services rendered by independent providers, and nothing on the Platform constitutes medical advice, diagnosis, or treatment by Aesthetica.

V. Eligibility

To use the Platform, the following must be true:

• you are at least eighteen (18) years old;
• you have legal capacity to enter into binding agreements;
• you will provide truthful, current, and complete information;
• you are using the Platform for yourself or as a legally authorized representative of another person;
• you agree to comply with these Terms and all applicable laws; and
• you have the device, internet access, software, and communications capability needed to use the Platform.

Meeting these eligibility requirements does not guarantee that you will receive any particular service, membership, consultation, provider response, or treatment opportunity.

VI. Availability of the Platform

The Platform may not be available at all times or in all locations. We may modify, suspend, restrict, or discontinue all or any part of the Platform at any time, with or without notice.

We are not liable if the Platform or any feature is unavailable, delayed, interrupted, or limited for any reason.

VII. Registration, Accounts, and User Data

Certain parts of the Platform may require you to register, create an account, complete forms, submit information, or maintain login credentials.

You agree that:

• your account information will be accurate and current;
• your username, password, and access credentials are personal to you;
• you will not share your login credentials with unauthorized persons;
• you are responsible for activity occurring under your account; and
• you will notify us promptly of any suspected unauthorized access or security incident.

You acknowledge that information you submit through the Platform (“User Data”) may be used, stored, copied, organized, transmitted, and otherwise processed by Aesthetica and its vendors as reasonably necessary to operate the Platform, provide services, enforce agreements, improve workflows, and comply with law.

VIII. Accuracy of Information; Your Responsibilities

As a condition of your use of the Platform, you agree that:

• all information you provide will be truthful, complete, and current;
• you will update material changes promptly;
• you will not omit relevant facts in a way that could affect coordination or safety;
• you understand that independent providers may rely on information submitted through the Platform; and
• incomplete, inaccurate, misleading, or outdated information may delay, impair, or prevent coordination, consultation, scheduling, payment, or treatment eligibility.

Aesthetica does not independently verify all information you submit and is not responsible for consequences arising from inaccurate, incomplete, or misleading information.

IX. Electronic Communications

By using the Platform, you consent to receive communications from Aesthetica electronically, including by email, SMS/text, telephone, WhatsApp, portal notifications, cloud links, e-signature tools, and other commercially reasonable channels used in connection with the Platform or services.

You acknowledge that such communications may have the same legal effect as communications in writing and that your electronic acceptance, clickwrap consent, or continued use of the Platform may serve as evidence of assent.

X. Payment, Memberships, and Checkout

Certain features of the Platform may involve fees, deposits, membership charges, rescheduling charges, add-ons, or other amounts.

By providing payment information and submitting a purchase, you authorize Aesthetica and its third-party payment processors to charge authorized amounts in accordance with the applicable checkout flow, Purchase Agreement, Order Form, Membership terms, or other accepted documents.

You understand and agree that:

• Aesthetica fees are generally fees for non-clinical coordination, membership access, or related services;
• provider, facility, anesthesia, laboratory, pharmacy, travel, hotel, recovery, and other third-party charges may be separate from Aesthetica fees, even if presented in a single workflow;
• payment does not guarantee provider acceptance, medical eligibility, scheduling, treatment, or outcome;
• refunds, if any, are governed by the applicable accepted commercial terms and mandatory law; and
• Aesthetica may use third-party processors and fraud-prevention tools in connection with payment handling.

XI. Independent Providers and Third-Party Services

The Platform may introduce you to or facilitate interactions with independent providers and third-party vendors, including physicians, clinics, hospitals, pharmacies, laboratories, imaging centers, travel partners, transportation providers, hotels, or recovery partners.

You understand and agree that:

• such providers and vendors are independent third parties;
• Aesthetica does not control their medical judgment, treatment decisions, staffing, pricing, availability, conduct, or performance;
• separate terms, privacy notices, consents, invoices, and agreements may apply to your relationship with those third parties; and
• Aesthetica is not liable for third-party services except to the extent finally adjudicated to have resulted solely from Aesthetica’s own conduct that cannot lawfully be disclaimed or limited.

XII. Restrictions on Use

You may use the Platform only for lawful, personal, and authorized purposes. You may not:

• use the Platform for another person without authorization;
• use the Platform in violation of law or regulation;
• copy, scrape, harvest, reproduce, distribute, or exploit Platform content for unauthorized commercial purposes;
• attempt to gain unauthorized access to systems, accounts, or data;
• interfere with security, functionality, or operation of the Platform;
• upload malicious code, malware, or harmful content;
• misrepresent your identity or authority;
• use the Platform to compete with Aesthetica;
• remove proprietary notices or branding; or
• encourage others to do any of the foregoing.

XIII. Privacy

Aesthetica understands the importance of privacy and confidentiality. Your use of the Platform is subject to our Privacy Policy and any additional notices or authorizations presented in connection with specific workflows or services.

Please review our Privacy Policy for details regarding how we may collect, use, disclose, transfer, and protect personal information.

XIV. Intellectual Property

As between you and Aesthetica, Aesthetica and its licensors own all right, title, and interest in and to the Platform and its content, features, functionality, trademarks, logos, designs, workflows, text, graphics, software, and related materials, including all associated intellectual property rights.

Subject to your compliance with these Terms, Aesthetica grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Platform for your own lawful, personal, non-commercial use.

No other license or right is granted.

XV. Third-Party Links and External Sites

The Platform may contain links to third-party websites, applications, or services. Those third parties are not under Aesthetica’s control, and Aesthetica is not responsible for their content, availability, security, privacy practices, products, or services.

Your use of third-party sites and services is at your own risk.

XVI. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL RELATED CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

AESTHETICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND FREEDOM FROM ERROR, VIRUSES, OR OTHER HARMFUL COMPONENTS.

AESTHETICA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT ANY INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE PLATFORM WILL BE ACCURATE OR COMPLETE.

XVII. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AESTHETICA AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, VENDORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, DEVICE DAMAGE, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, AESTHETICA SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM OR RELATED TO THIRD-PARTY MEDICAL SERVICES, TREATMENT DECISIONS, PROVIDER NEGLIGENCE, HOSPITAL EVENTS, TRAVEL ISSUES, RECOVERY ARRANGEMENTS, PLATFORM INTERRUPTIONS, OR COMMUNICATION FAILURES OUTSIDE AESTHETICA’S REASONABLE CONTROL.

IF, NOTWITHSTANDING THE FOREGOING, AESTHETICA IS FOUND LIABLE FOR A CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, AESTHETICA’S AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), OR, IF GREATER AND ONLY WHERE APPLICABLE, THE TOTAL AMOUNT PAID BY YOU TO AESTHETICA FOR THE SPECIFIC PLATFORM-BASED SERVICE GIVING RISE TO THE CLAIM.

XVIII. Indemnification

You agree to indemnify, defend, and hold harmless Aesthetica and its affiliates, members, managers, officers, employees, contractors, service providers, and agents from and against any third-party claims, demands, actions, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your breach of these Terms;
• your misuse of the Platform;
• your violation of applicable law;
• your infringement of any third-party right; or
• inaccurate, misleading, or unauthorized information submitted by you.

XIX. Suspension and Termination

Aesthetica may suspend, restrict, or terminate your access to the Platform, with or without notice, if:

• you breach these Terms;
• you provide inaccurate or misleading information;
• you misuse the Platform;
• your conduct creates legal, security, safety, payment, or reputational risk; or
• Aesthetica determines, in its reasonable discretion, that suspension or termination is necessary.

You may stop using the Platform at any time.

Sections that by their nature should survive termination will survive, including provisions relating to payment, privacy, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.

XX. Governing Law; Dispute Resolution; Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your use of the Platform, your relationship with Aesthetica, or any related matter shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the minimum extent mandatory law requires otherwise.

Before filing suit, you agree to provide Aesthetica with written notice of the dispute and to participate in good-faith efforts to resolve the matter for at least thirty (30) days, unless emergency injunctive relief is reasonably necessary.

Any dispute subject to court resolution shall be brought exclusively in the state courts of Laramie County, Wyoming, or, if federal jurisdiction exists and Aesthetica elects, in the appropriate federal court sitting in Wyoming.

To the fullest extent permitted by law, you and Aesthetica waive any right to a jury trial and agree that claims must be brought only on an individual basis and not as part of any class, collective, representative, or mass action.

XXI. Miscellaneous

These Terms, together with any incorporated policies and separately accepted service documents, constitute the entire agreement between you and Aesthetica regarding the Platform, unless a separate written agreement expressly states otherwise.

If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

Aesthetica may assign these Terms to an affiliate, successor, acquirer, restructuring vehicle, or purchaser of substantially all relevant assets. You may not assign your rights or obligations without Aesthetica’s prior written consent.

No waiver by Aesthetica of any breach or default will be deemed a waiver of any preceding or subsequent breach or default.

Headings are for convenience only and do not affect interpretation.

Aesthetica is a non-clinical coordination and platform company. Aesthetica does not directly provide medical, surgical, anesthesia, nursing, hospital, or pharmacy services. Medical services are provided solely by independent licensed providers and facilities. Information made available through the Platform is for informational and coordination purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.
