Patient Membership Purchase Agreement

Aesthetica operates a  non-clinical platform and coordination service, not a medical practice or  healthcare provider.

The standard Membership Fee is  USD 500 and includes case opening, platform access, and coordination of up to  two introductory consultations with independent specialists in the Aesthetica  Network.

Independent licensed providers  and facilities remain solely responsible for medical advice, treatment  recommendations, informed consent, and all clinical decisions.

Additional consultations,  procedures, facility charges, anesthesia, laboratories, prescriptions,  travel, lodging, recovery, and aftercare are separate unless expressly stated  otherwise in the Order Form / Checkout Summary.

International medical travel,  anesthesia, hospitalization, and post-operative recovery can involve serious  injury, revision surgery, dissatisfaction, disability, or death.

By accepting electronically, the  client agrees to this Agreement and the related Order Form / Checkout  Summary, Operational Health Information and Communications Authorization,  Code of Conduct, and Notice of Privacy Practices.

By purchasing this membership, I agree to Aesthetica’s Patient Membership Purchase Agreement, Order Form / Checkout Summary, Operational Health Information,International Transfer, Electronic Communications, and Emergency Authorization, Code of Conduct, and Notice of Privacy Practices.

I understand that Aesthetica provides non-clinical platform access andcoordination services only, and that my Membership Fee purchases coordinationdeliverables, including up to two introductory consultations with independentlicensed specialists in the Aesthetica Network, not medical care.

 

1. Acceptance; Clickwrap; Incorporated Documents

This Patient Membership PurchaseAgreement (the “Agreement”) is designed for use in an online checkout, portal,platform, or electronic-signature workflow. By checking the acceptance box,clicking “Purchase,” “Join,” “Continue,” “Submit,” “I Agree,” or any similarbutton, or otherwise completing the purchase of an Aesthetica membership,case-opening service, consultation bundle, or related add-on, thepatient/client and any financially responsible party accepting on the patient’sbehalf (collectively, “Client”) agree to be bound by this Agreement.

This Agreement incorporates byreference the patient-specific Order Form / Checkout Summary for the case ormembership purchase, the Operational Health Information, InternationalTransfer, Electronic Communications, and Emergency Authorization, the AestheticaCode of Conduct, and the Aesthetica Notice of Privacy Practices, each aspresented or linked at the time of acceptance.

If there is a direct conflictamong the case documents, the following order of precedence applies unlessnon-waivable law requires otherwise: (i) the Order Form / Checkout Summary forthe particular purchase, but only for the patient-specific commercial termsexpressly stated there; (ii) this Agreement; (iii) the Operational HealthInformation, International Transfer, Electronic Communications, and EmergencyAuthorization; (iv) the Code of Conduct; and (v) the Notice of PrivacyPractices.

Client agrees that electronicacceptance records, timestamps, IP logs, payment processor logs, clickstreamrecords, and stored copies of the accepted documents may be used as evidence ofassent and enforceability to the fullest extent permitted by law.

If the financially responsibleparty is not the patient, that person accepts this Agreement jointly andseverally with the patient for all payment, cooperation, notice, indemnity, anddispute-resolution obligations.

2. Parties; Nature of Relationship; Platform Positioning

This Agreement is betweenAesthetica Medical Travel, LLC, a Wyoming limited liability company(“Aesthetica”), and Client. Aesthetica is a non-clinical platform,coordination, and concierge company. Aesthetica does not practice medicine,does not provide nursing or hospital services, does not diagnose, does notprescribe, does not grant medical clearance, and does not guarantee any medicalor aesthetic outcome.

Aesthetica’s business model isbuilt around fixed patient-paid membership and coordination fees and, whereapplicable, fixed provider membership or listing economics that are not tied tothe medical act, are not based on a per-procedure commission structure, and areintended to preserve the independence of medical decision-making.

Client acknowledges thatAesthetica’s commercial administration, contract architecture, paymentadministration, and risk-management framework are anchored to Wyoming and thatWyoming is a commercially reasonable and foreseeable forum for this relationship.

3. Membership Scope; Included Initial Consultations; Service Limits

Aesthetica providesadministrative, logistical, and concierge-style coordination services only.Unless the Order Form / Checkout Summary states otherwise, the standard Membership Fee purchases: (a) case opening and intake administration; (b)organization of records and preferences provided by Client; (c) access toAesthetica’s independent specialist network for the active case cycle; and (d)coordination of up to two introductory consultations with independentspecialists in the Aesthetica Network.

The two introductoryconsultations are an access benefit of the membership and are not themselves arepresentation that any provider will recommend treatment, accept Client as apatient, provide medical clearance, quote a procedure, or reserve a surgery date.Aesthetica will use commercially reasonable efforts to coordinate up to twoconsultations for a responsive and qualified Client, subject to provideravailability, specialty fit, disclosed health and travel information,scheduling windows, and compliance requirements.

Aesthetica Services do notinclude medical advice, diagnosis, treatment recommendation, surgical planning,anesthesia decisions, nursing services, prescriptions, laboratoryinterpretation, hospital care, postoperative medical treatment, emergencyresponse, or clinical follow-up as a healthcare provider.

Aesthetica may screen, curate,or present independent providers using internal criteria; however, any suchscreening or curation does not create a warranty, guarantee, fiduciary duty, orrepresentation concerning any provider’s skill, licensure, ethics, bedsidemanner, pricing, outcome, or suitability.

Included consultations arenon-transferable, non-cash, patient-specific, and may not be split amongmultiple individuals. Unless mandatory law requires otherwise or the Order Formstates otherwise, any unused included consultation expires when the active casecycle ends or when services are terminated under this Agreement.

4. Separate Provider Relationships; No Agency; No Medical Reliance

All consultations, clinicaljudgments, treatment plans, informed consents, surgical decisions, anesthesiadecisions, prescriptions, postoperative instructions, complication management,and decisions about fitness to travel or proceed are solely between Client andthe relevant independent provider or facility.

Aesthetica is not the agent,employer, joint venturer, partner, representative, hospital, insurer, orguarantor of any physician, surgeon, anesthesiologist, clinic, hospital,laboratory, recovery house, driver, hotel, pharmacy, or other third party. No providerhas authority to bind Aesthetica, and Aesthetica has no authority to practicemedicine through any provider.

Client will enter into separateclinical, consent, billing, and facility arrangements directly with therelevant providers and facilities, except only to the limited extent a specificintroductory consultation is expressly included within the Membership Fee orotherwise expressly administered through Aesthetica’s checkout flow. Aestheticais not a party to, and does not assume liability under, the independentclinical arrangements.

No statement by Aesthetica aboutlogistics, timing, network structure, package design, or coordination should beunderstood as a medical recommendation or confirmation that a procedure isappropriate, safe, necessary, or likely to produce any specific result.

5. Client Representations; Duties; Cooperation

Client represents that thepatient is at least eighteen (18) years old, has legal capacity to enter thisAgreement, and will provide complete, current, and non-misleading informationto Aesthetica and to all providers, including health history, medications,supplements, allergies, prior surgeries, prior complications, nicotine use,substance use, pregnancy status, and material travel limitations.

Client understands thatinaccurate, incomplete, delayed, or misleading information may materiallyincrease risk, invalidate provider planning, trigger refusal of consultation ortreatment, cause cancellation or rescheduling, increase cost, contribute to emergencytreatment, or result in serious injury or death, and Client assumes theconsequences of such nondisclosure or inaccuracy.

Client will comply with allprovider instructions, including pre-operative requirements, lab requests,fasting instructions, medication restrictions, smoking or nicotine cessationrequirements, post-operative restrictions, and return-for-care recommendations.

Client is solely responsible forpassports, visas, travel authorizations, customs compliance, airlinerequirements, lawful ability to travel, and all practical arrangementsnecessary to travel to and from the treatment country.

6. International Medical Travel Risks and Assumption of Cross-Border Risk

Elective surgery, anesthesia,hospitalization, international travel, and post-operative recovery can involveserious risk, including infection, bleeding, thrombosis, embolism, anesthesiainjury, disfigurement, dissatisfaction, extended hospitalization, revisionsurgery, disability, delayed return travel, and death.

Client expressly acknowledgesthat seeking elective care abroad adds layered risk, including differentlicensure standards, documentation practices, infection-control protocols,medications, products, staffing models, malpractice systems, recovery standards,emergency pathways, language barriers, and legal remedies.

Client understands thatemergency care, revision care, ICU admission, hospitalization extensions,transfusions, specialist referrals, hotel changes, flight changes, and returndelays may become necessary unexpectedly and may be expensive, unavailable, delayed,or immediately payable.

If Client travels, flies, orotherwise leaves the treatment country before a provider has medically clearedtravel, Client accepts the increased risk of complications, reoperation,permanent injury, or death.

7. Membership Fee; Additional Charges; Earned Fees; Refund Logic; Payment Protections

Unless the Order Form / CheckoutSummary expressly states otherwise, Aesthetica’s standard Membership Fee is USD500. The Membership Fee compensates Aesthetica only for non-clinical platformaccess and coordination deliverables and includes the limited introductory-consultationaccess described in Section 3. The Membership Fee is not contingent on surgerycompletion, provider acceptance for treatment, medical clearance, financingapproval, travel completion, or outcome.

Except to the limited extent aspecific consultation is expressly included within the Membership Fee oranother purchased package, provider fees, facility fees, anesthesia,laboratories, hotel costs, transportation, medications, insurance,recovery-house charges, aftercare charges, and other third-party amounts areseparate from Aesthetica Fees even if they appear inside a single hostedcheckout session, portal, or dashboard.

Additional consultations beyondthe first two, second-opinion requests beyond the standard membership scope,premium coordination, enhanced itinerary support, on-ground services, aftercarebridge services, rescheduling beyond included limits, or other complexity-basedservices may require separate add-on purchases, separate direct providerbilling, or a revised Order Form / Checkout Summary.

Aesthetica may use integratedcheckout, split-payment logic, separate charges, destination-style charges,connected-account logic, staged billing, direct provider billing, reserves,partial captures, retries, reversals, preauthorizations, or other functionallyequivalent payment structures reasonably selected by Aesthetica or itsprocessors.

The fact that Client sees onecheckout page, one processor, one receipt flow, one dashboard, or onedescriptor does not make Aesthetica the medical provider, hospital,anesthesiologist, or owner of third-party clinical fees.

Unless mandatory law requiresotherwise, Aesthetica Fees become earned as the applicable coordinationmilestone work begins, including onboarding, case opening, provider outreach,consultation scheduling, itinerary support, or accepted add-on work. Once earned,Aesthetica Fees are non-refundable except where Aesthetica expressly commitsotherwise in writing.

If Client misses, no-shows, orlate-cancels a consultation and the relevant provider or scheduling slot islost, Aesthetica may treat that consultation as one of the two includedconsultations and may charge additional administrative or third-party reschedulingcosts where permitted by law and disclosed in the Order Form or relatedpolicies.

Provider refunds, if any, aregoverned primarily by Client’s direct arrangements with the relevant providersand facilities. Aesthetica may assist administratively but does not front,guarantee, or insure provider refunds.

Client agrees not to initiate achargeback or payment dispute before first giving Aesthetica written notice anda short good-faith opportunity to respond, except where fraud or unauthorizeduse is credibly alleged or non-waivable law forbids such limitation.

Any avoidable or bad-faithchargeback that contradicts the accepted payment terms may constitute amaterial breach and may expose Client and/or the financially responsible partyto recovery of processor costs, collection costs, attorneys’ fees, and relatedenforcement expenses to the fullest extent permitted by law.

No payment, deposit,preauthorization, invoice, consultation coordination, or confirmation of fundsconstitutes medical clearance, treatment approval, surgical eligibility, or aguarantee that any provider will ultimately perform the contemplated procedure.

8. Health Information; International Transfer; Electronic Communications

Client authorizes Aesthetica tocollect, receive, review, organize, summarize, translate, transmit, and storepersonal information and health-related information reasonably necessary forcoordination purposes, including identity data, travel information, providerrecords furnished to Aesthetica, photographs, laboratory results, medicationlists, postoperative updates, incident information, insurance details, andbilling records.

Client expressly authorizestransfer of such information across borders, including between the UnitedStates, Brazil, and any jurisdiction reasonably involved in the case, andacknowledges that privacy, secrecy, cybersecurity, and enforcement standards maydiffer across jurisdictions.

Client authorizes Aesthetica tocommunicate through email, SMS/text, WhatsApp, portal, cloud links, e-signaturetools, telephone, and other commercially reasonable channels selected forcoordination convenience, understanding that some channels may carryinterception, misdelivery, shared-device, metadata, screenshot, oraccount-compromise risk.

The companion Operational HealthInformation, International Transfer, Electronic Communications, and EmergencyAuthorization forms part of this Agreement and supplies additional detail foroperational data handling, communication preferences, emergency contact use,incapacity, and death-related coordination.

9. Insurance; Emergencies; Complications; Extraordinary Events

Client shall obtain and maintain travel medical insurance and medical evacuation / repatriation coveragereasonably acceptable to Aesthetica for the contemplated trip and case.Aesthetica may also require complication coverage, trip interruption coverage,or evidence of sufficient self-insurance depending on case complexity.

Client is solely responsible forthe financial consequences of complications, revisions, emergency room visits,ambulance use, hospital transfers, ICU care, medication, extended stays, travelchanges, companion costs, and home-country follow-up, unless a provider orinsurer separately agrees otherwise in writing.

Aesthetica is not anemergency-response service. In any emergency, Client must contact localemergency services, the provider or facility, and the applicable insurer.Aesthetica has no duty to triage, dispatch, provide medical advice, ormedically direct care.

If Client becomes unreachable,hospitalized, incapacitated, detained, or deceased, Aesthetica may communicatewith designated emergency contacts, authorized companions, providers,hospitals, insurers, consular authorities, airlines, hotels, and legal representativessolely for administrative and logistical coordination.

10. Rescheduling; Cancellation; Suspension; Termination

Client may request reschedulingor cancellation at any time; however, doing so may trigger additionalAesthetica fees, use or forfeiture of included consultations, additionalprovider or facility charges, change fees, restarts of pre-operative work, lossof deposits, and other third-party costs.

Aesthetica may suspend orterminate services immediately, without refund of earned fees, if Clientbreaches this Agreement, provides inaccurate information, engages in abusive orunlawful conduct, violates the Code of Conduct, initiates an improper chargeback,persistently fails to cooperate with scheduling, or presents an unacceptablecompliance, payment, legal, safety, or reputational risk.

Aesthetica may also suspend orterminate services if a provider, facility, airline, insurer, processor, publicauthority, border authority, or force-majeure event prevents or materiallyimpairs the arrangement.

If Aesthetica terminates forClient’s breach or risk profile, Client remains liable for earned AestheticaFees, provider amounts already incurred, non-cancelable third-party costs, andenforcement costs.

11. No Guarantees; Outcome Disclaimer; Allocation of Serious Adverse Events

Aesthetica does not guaranteeavailability of a specific provider, consultation slot, surgery date, facility,hotel, travel window, visa outcome, recovery timeline, clearance, aestheticresult, complication profile, or patient satisfaction.

Aesthetica does not warrant thatany contemplated procedure is medically appropriate, safe, necessary, or likelyto produce any specific medical or aesthetic outcome. Those matters areexclusively for Client and the independent provider.

Client understands and acceptsthat serious adverse events can occur, including infection, hemorrhage,embolism, necrosis, device or implant failure, stroke, respiratory compromise,disability, and death.

To the fullest extent permittedby law, Aesthetica has no responsibility for adverse events arising from orrelated to provider services or other third-party services except solely to theextent finally adjudicated to have resulted from Aesthetica’s own conduct thatcannot lawfully be disclaimed or limited.

12. Assumption of Risk; Release; Covenant Not to Sue

Client knowingly, voluntarily,and expressly assumes all risks of consulting with, traveling to, contractingwith, receiving treatment from, being hospitalized by, or recovering under thecare of any independent provider or facility, whether those risks are known orunknown, ordinary or extraordinary, foreseeable or unforeseeable.

To the maximum extent permittedby law, Client releases, waives, acquits, and covenants not to sue Aestheticaand its affiliates, members, managers, officers, employees, contractors,representatives, agents, vendors, software providers, payment processors, andlogistics partners from claims arising out of or relating to provider services,provider selection or nonselection, consultation content, travel,accommodations, recovery housing, transportation, payment routing, language orrecords issues, complications, revisions, disability, or death.

This release is intended toextend, to the maximum extent legally permissible, to claims asserted by heirs,estates, spouses, wrongful-death representatives, dependents, companions, andothers claiming through Client.

13. Client Indemnification

Client shall indemnify, defend,and hold harmless Aesthetica and the other released parties from and againstany third-party claim, chargeback, regulatory inquiry, loss, liability, cost,damage, judgment, settlement, fine, penalty, or expense, including reasonableattorneys’ fees, arising out of or relating to Client’s breach of thisAgreement, inaccurate disclosures, violation of law or travel rules, violationof provider instructions, claims by companions or family members arising fromthe arrangement, improper payment disputes, or public statements falselyimplying that Aesthetica provided medical treatment or guaranteed clinicalresults.

14. Limitation of Liability

To the maximum extent permittedby law, Aesthetica and the released parties shall not be liable for indirect,incidental, consequential, special, exemplary, punitive, enhanced, ormultiplied damages, including lost income, emotional distress, pain and suffering,loss of enjoyment, reputational harm, or cost of substitute services.

Without limiting the foregoing,Aesthetica shall not be liable for damages based on provider negligence,malpractice, clinical misjudgment, consultation content, anesthesia events,hospital events, recovery-house events, airline or hotel issues, crime, public-healthevents, processor outages, or data loss caused by third parties outsideAesthetica’s reasonable control.

If, notwithstanding all otherprovisions, Aesthetica is found liable for a claim not effectively released ordisclaimed, Aesthetica’s aggregate liability shall not exceed the totalAesthetica Fees actually paid to Aesthetica for the relevant case or membershippurchase.

15. Code of Conduct; Reputation; Public Statements

Client agrees to comply with theAesthetica Code of Conduct, which is incorporated into this Agreement.Aesthetica may suspend or terminate services for conduct that is abusive,threatening, harassing, fraudulent, discriminatory, coercive, or otherwise materiallyinconsistent with safe and professional operations.

Client agrees not to portrayAesthetica as the treating physician, treating hospital, or responsibleclinical decision-maker in public or private communications and will notpublish knowingly false or misleading statements suggesting that Aestheticaprovided medical treatment or guaranteed medical results.

16. Dispute Resolution; Wyoming Law; Jury Waiver; Class Waiver

This Agreement and any dispute,claim, or controversy arising out of or relating to this Agreement, theparties’ relationship, Aesthetica Services, the platform membership, thecoordination of provider services, payment processing, data handling, privacy,or any related matter shall be governed by the laws of the State of Wyoming,without regard to conflict-of-law rules, except to the minimum extent mandatorylaw requires otherwise.

Any dispute subject to courtresolution shall be brought exclusively in the state courts of Laramie County,Wyoming, or, if federal jurisdiction exists and Aesthetica elects, in theUnited States District Court with venue in Wyoming. Client irrevocably submitsto the personal jurisdiction of those courts and waives objections based oninconvenient forum.

Before filing suit, Client shallgive Aesthetica written notice of dispute describing the claim in reasonabledetail and shall participate in good-faith discussions for at least thirty (30)days unless emergency injunctive relief is reasonably required.

To the maximum extent permittedby law, Client and Aesthetica knowingly and voluntarily waive any right to ajury trial. All claims must be brought solely on an individual basis; no partymay participate as a class representative, private attorney general, or memberof any collective, mass, or representative action.

17. Miscellaneous

This Agreement, together withthe incorporated case documents accepted through the checkout flow, constitutesthe entire agreement between the parties and supersedes prior proposals,marketing statements, chats, emails, screenshots, and understandings to theextent they conflict.

Client acknowledges that Clientis not relying on any statement, testimonial, social media post,before-and-after image, travel estimate, verbal assurance, or marketinglanguage not expressly set forth in the accepted case documents.

If any provision is heldinvalid, unenforceable, or overbroad, it shall be reformed and enforced to themaximum extent permitted, and the remainder shall remain in full force.

Aesthetica may assign thisAgreement to an affiliate, successor, financing party, restructuring vehicle,or purchaser of substantially all relevant business assets. Client may notassign without Aesthetica’s prior written consent.

Electronic signatures, clickwrapacceptances, and electronic records are valid and enforceable. Sectionsconcerning payment, refunds, chargebacks, data handling, release, indemnity,limitation of liability, dispute resolution, and other obligations intended bytheir nature to survive will survive termination or completion of services.

Required client acknowledgment summary:

I understand that Aesthetica is not my doctor, surgeon, hospital,anesthesiologist, or healthcare provider.

I understand that, unless the Order Form expressly states otherwise, thestandard Membership Fee is USD 500 and purchases non-clinical platform accessand coordination, including up to two introductory consultations withindependent specialists in the Aesthetica Network.

I understand that additional consultations, provider fees, facilitycharges, procedures, travel, lodging, recovery, and aftercare remain separateunless expressly included in the accepted Order Form / Checkout Summary.

I consent to cross-border data transfer, electronic communications, and theoperational use of my emergency-contact information as described in theaccepted case documents.

I understand that Wyoming law, Wyoming forum selection, individual-claimrequirements, and jury-trial waiver provisions form a material part of theaccepted contract structure.

Acceptance mechanics. For clickwrap deployment, signature blocks may be omitted from the hosted versionbecause acceptance occurs electronically through the checkout or portalworkflow.
